A typical transaction for United Max International, LLC, although not limited to such a structure, would be arranged in the following manner: United Max International, LLC locates a potential investment opportunity in Southeast Asia, an intensive review of the potential investment is undertaken by our management and investment advisory team. The investment advisory team enters into a consultancy agreement with the prospective project company and generates fees for the Company. Once the due diligence is completed and the managing directors approved the investment, our wholly owned subsidiary, United Max International LTD, in Hong Kong will make the direct investment into the company. This investment could be in the form of equity, membership interest, debt or other instruments designed to maximize the opportunity for exit. The Company's management team will make every endeavor to install all the proper safeguards to allow the investment to grow and then give the Company the opportunity to exit the investment at the proper time at a profit to the Company and the unit holders.

The Company will make distributions in the following manner; the Company will retain twenty percent of the distribution, in addition to expenses and the unit holders will be distributed the remaining, which may be up to eighty percent. United Max International, LLC has made substantial inroads within the Southeast Asian community through its wide network of contacts. The Company has found that the greatest returns in these markets are not with the larger companies, however, with the small to mid-sized companies that are in need of five hundred thousand to five million dollars.

The goal of the Company is to raise twenty five million US dollars through this offering where the initial Unit Holders receive a minimum return of seven percent per annum identified through the issuance of Coupons attached to the Unit Certificates while the Company waits for the initial returns to come to fruition. The initial Unit Holders should understand that it will take time to invest the funds, and that initial returns could take more than one year, and in some cases, substantially longer.
